Valuation & Capital Analysis

Independent analysis of what something is worth, and what to do with your capital. Numbers built to hold up in front of a buyer, a lender, an investor, or a board.

Where most clients start.

Capital Decision Analysis. Three to six weeks, at a fixed fee, before the capital is committed. You receive a scenario model on return, payback, and risk, a valuation where the decision needs one, and a ranked recommendation a board, lender, or investor can test.

Where independent valuation fits

The number is only as good as its defensibility.

A valuation that cannot survive diligence or an examiner is worse than no valuation, because it commits you to an expectation it cannot hold. We are brought in when the number has to be right and has to stand up:

  • A sale, an acquisition, or a recapitalization
  • A new plant, site, or major capital project
  • Financial reporting: purchase price allocation, goodwill, stock comp
  • A raise, loan, or funding application that needs a model behind it
  • A board decision that needs a number from outside the room

Independence is the whole point. We hold no stake in the outcome, so the figure is the figure, and it holds up when it is tested.

Two kinds of number

A number that flatters you. Or one that holds.

Anyone can produce a valuation. The question is whether it survives the people whose job is to tear it apart.

A number to win the pitch

  • Produced by an advisor with a stake in the deal
  • Built to impress, on optimistic assumptions
  • Gives you the conclusion, not the reasoning
  • Falls apart in diligence, when it is too late

A number that holds, what you get with us

  • Independent, with no stake in the outcome
  • Built the way a buyer, lender, or examiner will test it
  • Explains the reasoning, so you can defend it
  • Survives the room

Capabilities

The analysis behind a confident decision.

Independent valuations

Defensible opinions of value, built the way a buyer, lender, or examiner will test them, so the figure holds when it matters.

Financial modeling

Operating and transaction models that hold up to scrutiny and let you test the decision under real scenarios, not just the base case.

Capital structure & cost of capital

We analyze how the business is financed and what that capital truly costs, so structure supports strategy rather than constraining it.

Capital allocation & investment analysis

We rank the options on risk-adjusted return and strategic fit, on one consistent basis, so capital flows to where it earns the most.

M&A & transaction advisory

Sell-side and buy-side advisory and growth-capital raises, with the accretion, synergy, structure, and downside analysis underneath them.

Diligence & pre-raise support

The materials and the analysis a buyer, lender, or investor will ask for, prepared before the request arrives.

Quality of earnings

EBITDA validation, revenue quality, and working-capital normalization, evidenced so a transaction or a credit is priced on the true economics.

Exit readiness & succession

The value-driver and succession work that happens years before a sale, so the owner chooses the buyer, the timing, and the terms.

Site, incentive & economic impact analysis

Regional cost benchmarks, incentive valuation, and the economic and workforce case behind a site decision or a funding application.

How the work goes

From the problem, to the diagnosis, to the fix.

A buyer has made an offer and the board needs a view.

We value the business independently, test the offer against alternatives, and lay out what the number rests on, so the board decides on evidence rather than on the advisor with a fee at stake.

A new product or business line is on the table.

We test it on IRR, DCF, and strategic fit. If it earns its capital we help you stand it up. If it does not, we find the better alternative and rank it against everything else competing for the same dollar.

Capital is committed by habit rather than by analysis.

We put every claim on capital on one consistent basis, risk-adjusted and comparable, then build the allocation discipline so the next decision is made the same way.

Capital Allocation

Decide where the next dollar goes, ranked by value, risk, and optionality, not by who asks loudest.

Quality of Earnings

The number everyone negotiates from ought to be true. Our QoE reads like it was written by someone who has run a P&L, because it was.

Exit Readiness & Succession

Value is built before the sale, not at it. Owners who do the readiness work years ahead of the letter of intent choose their buyer, their timing, and their terms.

Independent Mark Review

“Who reviews your marks?” is now a standard operational due diligence question, and “the deal team stands behind them” is not an answer an LPAC accepts twice. We provide quarterly sample-and-exception testing of private credit marks with an independent range per position and a report written for your auditor, your LP advisory committee, and the DDQs already in your inbox.
